Terms of Use

This text was prepared to be accurate for WayChat, but it is not legal advice. We recommend having it reviewed by a lawyer before launch.

1. Who we are and what these Terms cover

The WayChat app is provided by WayMaker ("we", the "Provider"). These Terms of Use govern the relationship between you (the "User") and the Provider regarding your use of the app. Contact: jett@waymakeragent.com.

2. Acceptance

By downloading, installing, or using WayChat you accept these Terms. If you do not accept them, do not use the app. If you are a consumer, these Terms do not limit the mandatory rights granted to you by law (see section 13).

3. Invite-only, professional use

WayChat is a private business tool for WayMaker's travel managers and administrators. Access is by invitation only and is granted, managed, and may be revoked by WayMaker at any time. The app is intended for legitimate travel-operations work, not for personal or consumer use, and there are no in-app purchases or subscriptions.

4. Licence and Apple's rules

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use WayChat on Apple devices that you own or control, in accordance with the App Store Usage Rules and solely for authorized WayMaker business purposes.

Because the app is distributed through the App Store, Apple's standard Licensed Application End User License Agreement also applies, available here: apple.com/legal/internet-services/itunes/dev/stdeula. In case of conflict between these Terms and Apple's standard EULA, Apple's EULA prevails for the matters it governs. Apple is not a party to these Terms and is not responsible for the app or its content; however, Apple and its subsidiaries are third-party beneficiaries and may enforce these Terms against you.

5. What the app does

WayChat lets authorized managers handle guest WhatsApp conversations, itineraries, FAQs, and to-dos in one place, with AI-assisted suggestions for draft replies and to-dos.

Important: AI features produce drafts and suggestions only. They can be incomplete or inaccurate. You must review each suggestion and decide what to send or do — you are responsible for messages sent and actions taken from your account. WayChat is a workflow tool and does not provide travel, legal, financial, or professional advice.

7. Handling guest data

When you use WayChat you handle personal data about guests and third parties. You agree to process it only for authorized WayMaker purposes, to keep it confidential, and to comply with WayMaker's policies and applicable data-protection law (see the Privacy Policy). Do not export, copy, or use guest data for any purpose outside your work for WayMaker.

8. Acceptable use

You agree not to: use the app for unlawful purposes; send illegal, harassing, defamatory, or rights-infringing content to guests; misuse guest data; attempt unauthorized access to systems or other users' data; decompile or reverse-engineer beyond what the law allows; or overload or disrupt the service. You must also comply with WhatsApp's / Meta's messaging policies when communicating with guests.

9. Intellectual property

The app, the names "WayChat" and "WayMaker", the design, trademarks, and code belong to the Provider or its licensors. Guest data and trip content processed in the app belong to WayMaker and/or its customers; we grant you no ownership over them beyond your authorized use.

10. Availability and changes

We may update, suspend, or discontinue the app or features, for example for technical, legal, or security reasons. For significant changes to these Terms we will update the date at the top of the page and, where appropriate, notify you. Continued use after changes constitutes acceptance, without prejudice to your statutory rights.

11. Disclaimer of warranties

To the maximum extent permitted by law, the app is provided "as is" and "as available", without warranties that it will be error-free, always available, or fit for a particular purpose, and without warranty as to the accuracy of AI-generated suggestions. Nothing in this section limits the statutory guarantees and other mandatory rights of consumers under applicable law.

12. Limitation of liability

To the extent permitted by law, the Provider is not liable for indirect or consequential damages, loss of data, or lost profits arising from the use of or inability to use the app, nor for decisions made based on AI-generated suggestions or content sent from your account. Nothing excludes or limits liability that cannot be excluded by law, for example in cases of intent or gross negligence, or personal injury. Mandatory consumer rights remain unaffected.

13. Termination

You can stop using the app at any time and request account deletion. WayMaker may suspend or terminate your access in cases of breach of these Terms, when your authorization ends, or for legal obligations. On termination your licence ends and you must stop using the app.

14. Governing law and jurisdiction

These Terms are governed by Italian law. If you are a consumer, the more favourable mandatory rules of your country of residence still apply, and for disputes the courts of your place of residence or domicile have jurisdiction. Nothing in these Terms deprives a consumer of the mandatory protections granted by law.
